Help...What the different between "ni" and "de"

Konnichiwa, I have a question here.I always get confuse with "ni" and "de". In my japanese textbook, they explained "de" as place of action performed and "ni" explain as place to enter or place of existence. But I still don understand :( Can give several example sentences for me ^^ ? arigatou gozaimasu.

thats right, lemme give u an example. densha de ikimasu, which means go by train, u use de because you're not just going to the train station and just sit there obviously, you're going their to get a ride to some place eles, hence action. kaimono ni ikimasu, going shopping, there is no obvious action thats going to happen at this place, so u use ni.
another example that helped me a lot was..
toshokan ni ikimasu (i'm going to the library)
toshokan de benkyoushimasu (i study in the library)
in the first, you're sayint that u'll go to the library, but there isn't any action. in the second, you're studying in the library, an obvious action. i hope this helps..

Um... korndog's examples are demonstrating the "method" meaning of "de" and the direction meaning of "ni". Though correct, they're not quite what you were looking for.

Basically, a location marked by "de" is where the verb in a sentence takes place. This puts the focus of the sentence on WHAT is done.

- toshokan [library] de benkyou shita [studied] = "I studied at the library."

A location marked by "ni" is where the action of the verb is directed. So for verbs of existence, it marks the place in space/time where something's existence is directed. This shifts the focus of the sentence to WHERE that something exists.

- toshokan [library] ni jisho [dictionary] ga aru [exists] = "The dictionary is at the library."

NI = use it if you just want to tell something's existence only and passive situation.

DE = use it if you want tell that you need or important to use something and explain the activities.
